1. Agreement to Terms

By accessing or using the Ultralight Health Systems platform, software, or clinical services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must immediately cease use of our platform.

Ultralight Health reserves the right to update these terms at any time. We will notify you of material changes by posting the new terms on this site and updating the "Last Updated" date at the top of the page. Your continued use of the platform after such changes signifies your acceptance of the updated terms.

2. Clinical Services & Software

Ultralight Health provides an Electronic Health Record (EHR) platform and clinical intelligence tools designed to assist medical practitioners in managing patient data and clinical workflows.

Important Notice: Ultralight Health Systems is a technology provider, not a medical professional or healthcare provider. Our software provides clinical decision support tools; however, all clinical decisions and patient care are the sole responsibility of the licensed medical practitioners using the software.

The Services are provided "as-is" and "as-available." While we strive for 99.9% uptime and clinical precision, we do not warrant that the Services will be uninterrupted or error-free.

3. User Accounts

To access certain features of the platform, you must create a clinical account. You are responsible for:

  • Maintaining the confidentiality of your login credentials and Multi-Factor Authentication (MFA) tokens.
  • Ensuring that all staff members under your clinical practice account adhere to these terms.
  • Maintaining HIPAA compliance and organizational security standards within your practice environment.
  • Immediately notifying Ultralight Health of any unauthorized access to your account.

4. Acceptable Use

Users are strictly prohibited from:

  • Attempting to bypass security protocols or reverse-engineer the clinical intelligence algorithms.
  • Using the platform to store or transmit patient data in violation of applicable laws (e.g., HIPAA, GDPR).
  • Automated "scraping" or extraction of clinical data outside of provided APIs.
  • Using the Services for any fraudulent or malicious activity.

5. Intellectual Property

Platform Ownership: Ultralight Health Systems and its licensors own all rights, titles, and interests in the platform, including the UI design, proprietary code, and clinical intelligence models.

Your Data: You retain all ownership rights to the patient data and clinical notes entered into the system. You grant Ultralight Health a limited, non-exclusive license to host, backup, and process this data for the sole purpose of providing the Services to you.

6. Limitation of Liability

To the maximum extent permitted by law, Ultralight Health Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of your use of the Services.

Our total liability for any claim arising under these terms shall not exceed the amount paid by you to Ultralight Health for the Services during the twelve (12) months preceding the incident.

7. Termination

You may terminate your account at any time by contacting our support team or through your practice management dashboard. Ultralight Health may suspend or terminate your access to the Services for material breaches of these terms or non-payment of fees.

Upon termination, you will have 30 days to export your clinical data via our standard export tools before your account data is permanently deleted from our primary production environment, in accordance with our data retention policy.
